Introduction

1. Services Provided

• Website Development and Maintenance
• Online Reputation Management

The scope and deliverables of our services will be outlined in the individual service agreements or contracts with each client.

2. Client Obligations

As a client, you agree to:

• Provide accurate and complete information for the delivery of services.
• Adhere to the timelines and requests made by The Vision Angle to ensure smooth execution of services.
• Make timely payments as agreed upon in your service contract.
• Respect all intellectual property rights as detailed below.

3. Payment Terms

• Payment for services is due as specified in the individual service contract.
• Late payments may incur additional charges or interest as specified in the contract.
• Services may be suspended if payment is not received within the agreed timeframe.

4. Intellectual Property

• Either party may terminate the service agreement by providing written notice 30 days in advance.
• In the event of termination by the client, The Vision Angle will invoice for all services provided up to the date of termination.
• Any upfront payments made for services not rendered will be refunded based on the percentage of work completed.

5. Cancellation and Termination

• The Vision Angle retains ownership of all materials, methodologies, and content created during the course of the service unless otherwise agreed in writing.
• Upon full payment, the client will receive a non-exclusive license to use materials created for their specific project or campaign.

6. Confidentiality

Both parties agree to keep all sensitive and proprietary information confidential. This includes, but is not limited to, marketing strategies, business information, and personal data.

7. Limitation of Liability

The Vision Angle will not be held liable for:

• Any damages or loss of profits due to delays or interruptions in service beyond our control.
• Any consequential or indirect damages.
• Failure to achieve specific outcomes or goals unless guaranteed in writing.

8. Amendments

The Vision Angle reserves the right to update or modify these Terms and Conditions at any time. Clients will be notified of any changes, and continued use of our services will constitute acceptance of the updated terms.

9. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts in Kolkata, West Bengal.
